Please read these Terms and Conditions carefully before using the RoseITBD.com website and any services provided by RoseITBD. By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.

Introduction and Definitions

• Service/Services: Refers to all digital services provided by RoseITBD, including but not limited to Web Design & Development, Search Engine Optimization (SEO), Web Speed Optimization, WordPress Bug Fixing, Theme/Plugin Customization, and WordPress Pro Theme/Plugins License Key Activation Service.

• Client/User/You: Refers to the individual, company, or organization engaging with RoseITBD for the provision of Services.

• Agreement: Refers to these Terms and Conditions, which govern the relationship between RoseITBD and the Client.

Scope of Services

RoseITBD agrees to provide the following Services based on the specific package, quote, or Statement of Work (SOW) agreed upon with the Client:

A. Web Design & Development

• Delivery: We commit to developing a website according to the specifications, features, and timeline outlined in the project agreement.

• Content: The Client is solely responsible for providing all text, images, logos, and any other content required for the website unless content creation is explicitly part of the agreed-upon Service.

B. Search Engine Optimization (SEO) & Web Speed Optimization

• Guarantees: The Client acknowledges that search engine rankings and traffic improvements are subject to external factors (search engine algorithms, competitor activity) and RoseITBD provides no guarantee of specific ranking positions or traffic levels.

• Speed: Optimization efforts are based on current best practices. We guarantee optimization based on the tools and metrics available at the time of service completion.

C. WordPress Services (Bug Fixing, Customization)

• Access: The Client agrees to provide RoseITBD with necessary administrative access (e.g., WordPress admin, cPanel, FTP) for the duration of the service.

• Liability: While we take reasonable precautions, RoseITBD is not liable for pre-existing system failures or data loss caused by unstable hosting environments or underlying issues not directly related to the contracted bug fix or customization work.

D. Digital Tool License Key Activation

• Activation: This Service is for the activation and maintenance of a licensed copy of a Pro Theme or Plugin on the Client’s domain.

• Licensing: The Client acknowledges that RoseITBD uses Agency, Developer, or Volume licenses for activation. The Client does not own the individual license key. The use of the theme/plugin is valid as long as the Client’s subscription or agreement with RoseITBD remains active. RoseITBD reserves the right to remove activation if payments cease or the Agreement is terminated.

• Updates: Updates for the activated tools will be managed by RoseITBD for the duration of the Service agreement.

Payment and Fees

• Pricing: All prices for Services are quoted in BDT and are subject to change without prior notice, though not for projects already under a signed agreement.

• Invoices: Invoices are payable within 30 days of issuance, unless otherwise agreed upon in writing.

• Late Payments: RoseITBD reserves the right to suspend work or revoke access to activated licensed tools if payments are overdue. 

Client Obligations

The Client agrees to:

• Cooperate with RoseITBD in all matters relating to the Services.
• Provide timely decisions, approvals, and necessary data/access as requested.
• Ensure that any content provided for the project (text, images, media) does not infringe upon the intellectual property or other rights of any third party. The Client assumes all liability for the content they provide.

Intellectual Property Rights

• Client IP: The Client retains all intellectual property rights (copyright, trademark, etc.) over all content they provide.

• RoseITBD IP (Pre-existing): Any methodologies, coding standards, frameworks, or proprietary tools used by RoseITBD to deliver the Services remain the exclusive property of RoseITBD.

• Project IP: Upon final payment, the copyright for the original, custom-developed visual design and specific code created for the Client’s website (excluding third-party licenses/plugins) shall be transferred to the Client. RoseITBD retains the right to display the completed work in its portfolio and marketing materials.

Warranties and Limitation of Liability

• Warranty Period: RoseITBD offers a limited warranty period of 365 days following project completion/launch for bug fixes and errors directly attributable to our original code development. This does not cover issues caused by third-party plugins, Client modifications, or hosting failures.

• Limitation: RoseITBD’s total liability to the Client for any and all damages arising out of or in connection with the Services shall not exceed the total amount of fees paid by the Client to RoseITBD for the specific Service giving rise to the claim.

• Exclusions: RoseITBD shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, or data, arising from the use or inability to use the Services.

Cancellation and Termination

• By Client: The Client may terminate the Agreement at any time by providing written notice. The Client will be invoiced for all work completed up to the date of termination. The initial deposit is non-refundable.
• By RoseITBD: RoseITBD may terminate the Agreement immediately if the Client:
• Fails to pay any amount when due.
• Breaches any of the terms of this Agreement.
• Engages in illegal or unethical use of the Services or tools.

Changes to Terms and Conditions

RoseITBD reserves the right, at our sole discretion, to modify or replace these Terms at any time. The “Last Updated” date at the top of this document will indicate when changes were made. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms and Conditions.
